of a 51% stake in Gabon Telecom SA

Maroc Telecom was announced the winner of the tender offer relating to the
acquisition of a 51% stake in Gabon Telecom SA, the incumbent telecommunications
operator of Gabon, for an amount of Euro 61 million. Mr. Abdeslam Ahizoune,
Chairman of Maroc Telecom Management Board, as well as Mr. Paul Toungui, State
Minister, Minister of Economy, Finance, Budget and Privatization and Mr. René
Ndemezo’Obiang, Minister of Communication, Telecoms and New Technologies, have
proceed to the signature of this transaction documents. For this occasion,
Mr. Ahizoune declared: “We are happy that Maroc Telecom has been choosen as a
strategic partner of Gabon Telecom. Without waiting, we are going to implement a
restructuring and development plan that will help this operator to become a
jewel of the Gabonese economy and a model for the region, able to offer the best
services at the best prices to the population and to companies of this country.”
Gabon Telecom realized, with its mobile subsidiary Libertis, revenues of Euro
137 million in 2006, according to Gabonese estimations. In a liberalized mobile
telecom market, with to other competitors, the company has at the end of
December 2006, according to its estimations, a customer base of 250,000 Mobile
customers, i.e. a market share of nearly 30%, and more than 30,000 Fixed-line
subscribers. The penetration rate is estimated at the end of 2006 to 53% for the
Mobile and 2 % for the Fixed-line. Let us recall that Maroc Telecom is the
majority shareholder of Mauritel, the historical Mauritanian telecom operator,
since April 2001, and also of Onatel in Burkina Faso since December 2006. BNP Paribas and August
& Debouzy firm are the financial and the legal advisors of Maroc Telecom for
this transaction.
Maroc Telecom is Morocco's
incumbent telecommunications operator and the country's market leader in
fixed-line and mobile telecommunications and Internet access. Since December
2004, Maroc Telecom is listed on the Casablanca and Paris stock exchanges and
its main shareholders are Vivendi Universal (51%) and the Kingdom of Morocco
(34%).
