Jean-Bernard Lévy steps down as Chairman of the Vivendi Management Board

A Vivendi Supervisory Board was held this June 28. Jean-Bernard Lévy is stepping down as Chairman of the Management Board following a divergence of views on the strategic development of the Group.

The Supervisory Board wishes to thank Jean-Bernard Lévy for his contribution over the last ten years alongside Jean-René Fourtou.

Jean-Bernard Lévy joined Vivendi in August 2002 as Chief Operating Officer. After outstanding work to turn the Group around, he was appointed Chairman of the Management Board in 2005. Jean-Bernard Lévy successfully led Vivendi’s development, the main steps being: the disposal of the cinema activities in the United States, the consolidation of SFR as an integrated fixed/mobile operator; the creation of a world leader in video games with the acquisition of Activision and the merger with Blizzard; the acquisition and development of GVT, the Brazilian leader in high speed Internet.

Jean-François Dubos, Vivendi’s General Counsel, is appointed Chairman of the Management Board. The Management Board is composed of Jean-François Dubos and Philippe Capron, Chief Financial Officer.

In addition it is being proposed to the SFR Board of Directors that Stéphane Roussel, currently Senior Executive Vice President, Human Resources of Vivendi, be appointed Chairman and Chief Executive Officer of SFR.

Biographies

Jean-François Dubos
Senior Executive Vice President and General Counsel, Vivendi

Jean-Francois Dubos was appointed Executive Vice-President and General Counsel, Secretary of the management and supervisory boards of Vivendi in April 2005. Prior to this position, Mr. Dubos served as Executive Vice-President and General Counsel, Secretary of the board of directors of Vivendi. Mr. Dubos is responsible for managing the group’s legal and administrative departments. He is also a member of the French Administrative Supreme Court (Maître des Requêtes au Conseil d’Etat).

Mr. Dubos joined Compagnie Générale des Eaux, the predecessor of Vivendi, as deputy to the Chief Executive Officer in 1991, and since 1994, has held the position of General Counsel. From 1993 to 1999, he was the Chief Executive Officer of the group’s subsidiary, Carrousel du Louvre. From 1984 to 1991, while a full-time member of the French Administrative Supreme Court (Conseil d’Etat), he worked on a wide range of matters, including education, interior affairs, urban planning, historical preservation and codification of laws. From 1981 to 1984, he was co-head of the cabinet of the French Ministry of Defense.

He was also a lecturer at the Ecole Nationale d’Administration, as well as at the University of Paris I (Sorbonne), Paris X (Nanterre), Paris V (René Descartes) and at the IEP of Aix-en-Provence. Mr. Dubos currently serves on the Board of Directors of two water distribution companies (Société des Eaux de Melun and CMESE) as well as on the Supervisory Board of Canal+ and Groupe Canal+. He is also Vivendi’s permanent representative on the Board of SFR.

Jean-François Dubos has a degree in English and Spanish and holds a graduate degree in public international law and political science from the University of Paris. He also participated in two sessions of the Academy of International Law at The Hague. He is a Chevalier of the Legion of Honor and the Order of Merit, Officer of Arts and Letters and holds several decorations.

Jean-François Dubos performs various responsibilities on a voluntary basis in the world of culture. He is General Secretary of the Aix-en-Provence International Opera Festival and a member of the Board of American Friends, a Director of the Amis de Mozart, Vice-Chairman of the Arles International Photography Festival and Chairman of the Maison Européenne de la Photo. He is also Chairman of the Centre de Musique Baroque de Versailles.

 

Stéphane Roussel
Senior Executive Vice President, Human Resources, Vivendi

Stéphane Roussel is currently Senior Executive Vice President, Human Resources Vivendi. He is also a member of the Board of the SFR Foundation, member of the Board of Activision Blizzard, Chairman of the Board of Digitick and SeeTickets.

Until March 1, 2009, Stéphane Roussel was SFR’s Managing Director, Human Resources, having joined that company in July 2004.

From 1997 to 2004, Stéphane Roussel worked for the Carrefour Group. First, he was appointed Director of Human Resources for hypermarkets in France (from 1997 to 2000) before becoming Director of Human Resources Development for the international business (from 2000 to 2002) and then Director of Human Resources France for the whole of the Carrefour Group (from 2002 to 2004). From 1985 to 1997, Stéphane Roussel was employed by Xerox.

He is a graduate of the Paris College of Psychology (l’Ecole des Psychologues Praticiens). In his spare time he enjoys sport, music and chess.
